Short answer

A Wyoming single member LLC is a US company with exactly one owner, and you can own it from anywhere. Filing the Articles costs $100, you need a registered agent with a physical Wyoming address, and the work doesn't end at formation. A Wyoming single member LLC owned by a non-US person runs on two calendars every year: the state annual report in your anniversary month, and a Form 5472 with a pro forma Form 1120 to the IRS by April 15. Miss the IRS one and the penalty starts at $25,000.

For a step-by-step walkthrough, this explainer on how one developer sets up a US company covers it in more depth.

What "single member" means for a Wyoming LLC owned from abroad

One member means one owner: you. For federal tax, a single-member LLC is a disregarded entity by default, under the classification rules in Regulations 301.7701-2 and -3. You can elect a different treatment with Form 8832.

Disregarded doesn't mean invisible. The IRS Form 5472 instructions call your company a "foreign-owned U.S. DE". It has no income tax return of its own, yet it must file a pro forma Form 1120 with Form 5472 attached. Only the name, address and items B and E on page one of the 1120 are required.

The part people miss: Form 5472 reports transactions between the LLC and you. Amounts paid for forming the company count. So does putting money in or taking money out. A Wyoming single member LLC with zero revenue still files if you funded it.

Wyoming itself is light on tax. The state's own about page says: "Unlike other states, Wyoming does not possess an individual or corporate income tax." Your home country's tax rules still apply, so ask a tax professional where you live.

Setting up a Wyoming single member LLC in six steps

Not sure the side project is ready for a company yet? This piece on the signals that a side project has turned into a startup is a good gut check first.

Pick a name. It must include "LLC", "L.L.C.", "Limited Liability Company" or another listed ending. Names starting with "A" go on paper for manual review.

Line up a registered agent. A Wyoming resident or a business allowed to operate there, with a physical Wyoming address. A PO box alone won't do.

File the Articles of Organization. The state fee is $100, plus a 2.4% card fee (minimum $1) online. An organizer signs. The form asks for the agent, addresses and an email for service, not for member names.

Write the operating agreement. The Articles don't list owners, so this is where your 100% ownership gets written down.

Get an EIN after the state approves the company. The IRS tells LLC owners to register the entity with the state before applying.

Open a bank or payment account. Each bank decides who it accepts.

CORPBOLT forms Wyoming LLCs for founders outside the US starting at $349, and the $100 state filing fee is already inside that price. If you need the EIN handled too, CORPBOLT's Launch plan at $599 includes it along with a bank-ready operating agreement; on Foundation the EIN is a $199 add-on. See current plans and prices at corpbolt.com.

 The yearly two-calendar view

A Wyoming single member LLC answers to two offices on two unrelated dates.

Wyoming Secretary of State clock

The annual report is due on the first day of your anniversary month. Formed on May 15? It's due May 1, every year.

You can file up to 120 days early, and the state sends reminders 60, 30 and 10 days before.

On the second day of the next month you're delinquent. After 60 days unfiled, the state dissolves the company. Reinstatement within two years means every missed report and fee plus $100.

The WyoBiz annual report page is where you file and check the date.

IRS clock

Form 5472 plus the pro forma 1120 are due April 15 for a calendar-year company. Form 7004 extends it.

Neither can be e-filed. You fax or mail them to the IRS in Ogden, Utah, with "Foreign-owned U.S. DE" written across the top.

The IRS Form 5472 instructions set a $25,000 penalty for failing to file Form 5472 when due, plus another $25,000 for each 30-day period the failure continues more than 90 days after IRS notice.

CORPBOLT includes the registered agent and the yearly Wyoming annual report, with the state fee paid, on every plan. The IRS clock is separate: Form 5472 and pro forma 1120 filing is part of CORPBOLT's Concierge plan at $1,497.

Wyoming single member LLC cost comparison

What a Wyoming single member LLC costs by route, with prices as listed in October 2026. Check each provider's site before you buy.

Option

What you pay, as listed

CORPBOLT

Wyoming LLC formation from $349, or $599 with your EIN included. The $100 state filing fee is included on every plan.

Stripe Atlas

$500 one-time incl. state fees and 1st-year registered agent, then $100/yr. Delaware only (C-corp or LLC), no Wyoming.

Firstbase (Start)

$399 list price; currently an offer where formation is free and you pay only the state fee; registered agent required and billed separately.

doola (Starter)

$297/yr plus state fees ($397 in year 1 in Wyoming), renews at $297/yr; Tax & Compliance plan $1,999/yr.

DIY (Wyoming Secretary of State)

$100 state fee for the Articles + card fee; $60 minimum annual report paid to the State of Wyoming (not a CORPBOLT fee); you also need a registered agent with a physical Wyoming address.

The Wyoming Secretary of State fee schedule, effective July 1, 2026, is the source for the state numbers. The DIY route for a Wyoming single member LLC is cheapest on paper, but you own both calendars yourself.

When a Wyoming single member LLC is the wrong fit

You have a co-founder. Two owners means a multi-member LLC, so the single-member rules above stop applying. Sort out the tax side with an accountant before you file.

You plan to raise from investors. Ask a lawyer which entity type your investors expect before you file.

You or a contractor will work from inside the US. That raises effectively connected income questions, which depend on your facts. Get a tax professional involved.

You won't keep up with April 15. A $25,000 penalty for one late form is not a risk to take casually.

If you're still deciding whether a company fixes your actual problem, my earlier post on what an LLC fixes for freelancers abroad and what it doesn't goes through it.

If a Wyoming single member LLC fits, I'd price CORPBOLT first and compare it against the DIY row line by line.

Fees, dates and forms above were checked against the October 2026 Wyoming Secretary of State and IRS pages.

An LLC for freelancers who invoice US clients from abroad is worth it once the work is recurring and you want clients paying a US business account instead of you personally. It is not a tax trick, and it doesn't switch off your taxes at home. I'm a freelance web developer in Austin, not a lawyer, and I read the Wyoming Secretary of State fee schedule and the IRS instructions line by line. This is what an LLC for freelancers actually changes, what it costs every year, and where people get burned.

 TL;DR

Worth it for steady US clients who want to pay a US business. Skip it for a couple of one-off gigs.

The LLC is one layer. You also need an EIN, a bank, a payment processor and invoices that all carry the same name.

The real cost is yearly paperwork: Form 5472 with a pro forma Form 1120 by April 15, and a Wyoming annual report ($60 minimum).

An LLC for freelancers doesn't decide your home-country tax. A local tax professional does.

If you want the Wyoming filing, the EIN and the bank documents in one order, compare CORPBOLT's Wyoming plans before you price anything else.

Transparency note: that CORPBOLT link carries my referral code, so I may earn a commission if you buy through it.

 The stack

Treat an LLC for freelancers like a deploy pipeline. Each layer depends on the one before it, and one broken layer stops the money.

Layer

Needs

What breaks without it

LLC

Articles of Organization ($100 in Wyoming)

No business for clients to contract with

EIN

The LLC exists

No bank account, no processor

Bank

LLC documents + EIN

Nowhere to receive USD as the business

Processor

Bank + EIN

Clients can't pay the LLC by card

Invoicing

Every layer in one legal name

Payments land in the wrong name

 LLC

Wyoming charges $100 for the Articles of Organization (Wyoming Secretary of State fee schedule, effective July 1, 2026). Filing online through WyoBiz adds a 2.4% card processing fee, minimum $1. Skip the $60 name reservation if you file the Articles right away.

A single-member LLC is a disregarded entity by default. For US federal purposes it's treated as you, unless you elect otherwise with Form 8832.

CORPBOLT forms Wyoming LLCs for non-US founders from $349, or $599 with the EIN bundled in, and the $100 state filing fee sits inside every plan.

 EIN

The IRS never charges for an EIN. The catch for an LLC for freelancers run from abroad: the online application needs an SSN or ITIN and can't be used when your principal place of business is outside the US. So the route is Form SS-4 by phone, fax or mail.

On CORPBOLT's Launch plan the EIN comes included with standard IRS processing, which takes 6-8 weeks on average; if that's too slow, Rush EIN gets it within 5 business days, sold as an add-on and already included on Concierge.

 Business bank

This is the layer where an LLC for freelancers pays off or stalls. Banks typically ask for formation documents, the EIN, and proof of who owns the LLC and who can sign. CORPBOLT prepares a bank-ready operating agreement and a banking resolution, the two documents that answer exactly those questions. The bank still decides.

 Payment processor

Card processors usually ask for the EIN and a bank account in the LLC's name. Keep the legal name identical, character for character, across the processor, the bank and your invoices.

 Invoicing

Invoices go out from the LLC: its legal name, its address, its bank details. Not "Ryan Schmeler, freelance dev." If a client pays you personally, the LLC did nothing for that payment. One name on the money and the paperwork is the whole point of an LLC for freelancers.

If the LLC and EIN layers are the ones you haven't touched yet, see current plans and prices at corpbolt.com.

 Gotchas

Most guides on an LLC for freelancers stop at "file the Articles." These are the parts that show up later.

Client tax forms. Expect a client's finance team to ask for a form from the W-8 family. For a single-member LLC owned by a foreign person, the LLC is disregarded, so the owner provides Form W-8BEN or Form W-8BEN-E, as appropriate (IRS W-8BEN-E instructions). Ask your accountant which form fits you.

Form 5472 every year, even with no US tax. A foreign-owned single-member LLC has no income tax return requirement, yet it still files a pro forma Form 1120 with Form 5472 attached. That's due April 15 for a calendar-year company, with "Foreign-owned U.S. DE" written across the top. No e-filing: fax 855-887-7737 or mail it to the IRS in Ogden, UT. Form 7004 extends it, by the same fax-or-mail route. Skipping it costs $25,000, plus another $25,000 if it's still missing 90 days after an IRS notice (IRS Form 5472 instructions). Money you put into the LLC or take out counts as a reportable transaction.

Home-country taxes still apply. Where you live decides what you owe there; treaty claims and how your country views a US disregarded entity change the answer. Not tax advice: talk to a local tax professional before you form.

Contracts in the LLC name. Sign MSAs and SOWs as the LLC, with your title, not as yourself. If older contracts sit in your personal name, ask clients to update them.

The Wyoming annual report. Per the Wyoming Secretary of State FAQ, it's due on the first day of your anniversary month: formed May 15, due every May 1. The license tax is $60, or two-tenths of a mill on Wyoming assets if that's higher. You can file up to 120 days early, and the state emails reminders 60, 30 and 10 days ahead. Late means delinquent on the second day of the next month, then administratively dissolved if it's still unfiled 60 days after the due date. Reinstating within two years costs every missed report and fee, plus $100.

The EIN without an SSN. International applicants can call 267-941-1099 (not toll-free), 6 a.m. to 11 p.m. Eastern, Monday to Friday, and the caller must be authorized to receive the EIN (IRS SS-4 instructions). File only one SS-4 for the LLC.

Here's the calendar for an LLC for freelancers formed on November 10, 2026, with the owner's first deposit made that month:

Obligation

Due

Cost

If you miss it

2026 Form 5472 + pro forma 1120

April 15, 2027

Your time, or an accountant's

$25,000 penalty

First Wyoming annual report

November 1, 2027, then every November 1

$60 minimum

Delinquent December 2, 2027; dissolved if unfiled by December 31, 2027

 When it's not worth it

An LLC for freelancers is overhead with no payoff in these cases:

A few small one-off gigs a year. The yearly 5472 and annual report outweigh the benefit.

Clients pay you personally through a platform. The LLC never touches that money.

Your home country taxes it into pointlessness. Only a local tax pro can tell you whether yours does.

You need a state other than Wyoming. CORPBOLT forms Wyoming LLCs only, so it isn't the fit there.

The signal that an LLC for freelancers makes sense is recurring US invoices plus a client asking for a W-8, and then my order is LLC and EIN together, bank, processor, with the April 15 Form 5472 date in your calendar from day one. When you're there, the Wyoming plans and today's prices are on CORPBOLT's pricing page.

If you freelance from abroad for US clients: did you form an LLC, stay a sole proprietor, or go another route? Tell me in the comments what tipped it.
