Anthropic is preparing to publicly file its S-1 registration statement with the U.S. Securities and Exchange Commission as soon as this Friday, according to three people familiar with the matter cited by Yahoo Finance, in a move that would clear a key procedural hurdle for a potential listing in November. If it proceeds, the offering is widely expected to surpass the June IPO of SpaceX as the largest in history, with Wall Street estimates pointing to a valuation of around 2 trillion dollars and fundraising of up to 100 billion dollars. The filing would give public investors their first detailed look at the finances and risks of one of the fastest-growing companies in the AI industry.
A 15-Day Countdown to Public Scrutiny
Anthropic confidentially submitted a draft registration statement to the SEC in June. Under SEC rules for confidential filers, a company must publicly file its registration materials at least 15 calendar days before formally launching its investor roadshow. Publicly filing the S-1 therefore removes the last significant procedural obstacle ahead of a November listing, though the final timing still depends on market conditions and other factors. Anthropic declined to comment on the filing timeline.
The Financial Picture Behind the Headline Numbers
According to The Wall Street Journal, Anthropic generated revenue of 16.3 billion dollars in the first half of 2026 while posting a net loss of more than 80.7 billion dollars. The bulk of that loss, roughly 72 billion dollars, stems from accounting charges related to changes in the value of convertible notes and other instruments the company has issued, rather than from operating losses. On the operating side, Anthropic told investors at its San Francisco office last week that third-quarter revenue climbed to 16.8 billion dollars, up from 11.5 billion dollars in the second quarter, growth of nearly 50 percent, and that the company achieved adjusted profitability and positive free cash flow, according to the Financial Times. The company is spending billions of dollars on AI infrastructure to train and run its Claude models, including partnerships with Google and Amazon and rented GPU capacity from the Colossus 1 data center operated by SpaceX.
A Cooler IPO Market Raises the Stakes
The mega-listing arrives as sentiment toward AI-related IPOs turns more selective. South Korean data center provider Elice fell 32 percent on its debut this week after raising 151 million dollars, and NVIDIA-backed Firmus Grid abruptly shelved its listing earlier this month amid investor pushback on its target valuation. Shares of already-public AI infrastructure companies have been volatile, with CoreWeave under particular scrutiny over whether its future revenue can cover a heavy debt load. Some existing and prospective Anthropic investors have trimmed their IPO valuation expectations to the 1.5 trillion dollar range after the company disclosed third-quarter results, down from earlier expectations of around 2 trillion dollars. The company's business rests on the Claude chatbot, the Claude Code programming tool, and Claude Cowork for enterprise users. On Wednesday it also unveiled a research preview of Claude Duet, a proactive agent app for professionals and small businesses that competes with OpenAI's always-on agents and Meta's Muse assistant.
