There are 33.2 million small businesses in the United States. They employ 61.7 million people, or 46.4% of the private workforce (SBA Office of Advocacy, 2023). Most of them run on spreadsheets, WhatsApp groups, and the memory of whoever opened the company.
Meanwhile, Fortune 500 companies spend between $2 million and $15 million per year on governance, risk, and compliance software. They have TOGAF-certified architects designing their decision flows. They have audit trails, approval chains, segregation of duties. They have systems that know who approved what, when, and why.
Small businesses have none of that. And now they are adopting AI.
The automation trap
The current wave of AI adoption for small businesses is almost entirely about automation. Chatbots answering customer questions. Tools that generate invoices. Assistants that draft emails.
This is useful. It is also incomplete.
Automation answers the question "how do I do this faster?" It does not answer "who is allowed to do this?", "what happens if this goes wrong?", or "how do I know what my AI agents did last Tuesday?"
A freelancer using an AI agent to send proposals to clients has no mechanism to limit what that agent can commit to. A small construction firm using AI to update project timelines has no way to trace how a change in material costs propagated into a new delivery date. A micro-enterprise using AI for tax compliance has no audit trail if the tax authority asks for one.
The gap is not capability. The gap is governance.
What governance means for a 5-person company
Governance is a word that sounds like it belongs in boardrooms with mahogany tables. It does not. Governance is three things:
- Who can do what (authority)
- What happened and when (audit)
- What are the rules, and are they being followed (policy)
Large enterprises solve this with layers of software, committees, and consultants. A 5-person company cannot afford any of that. But the need is the same.
When a small business owner gives an AI agent access to their bank account to pay suppliers, they need to define limits. The agent can pay invoices under $500 without approval. Anything above $500 requires confirmation. The agent cannot create new payees. Every payment is logged with a timestamp, the invoice reference, and the delegation chain that authorized it.
This is not a luxury. This is the difference between using AI and trusting AI.
The cost of no governance
In February 2026, Brazil's Central Bank made MED 2.0 mandatory for all financial institutions. MED is the mechanism for recovering funds from Pix fraud, the instant payment system used by 153 million Brazilians. In 2024, there were 4.7 million fraud reports through MED (Central Bank of Brazil, 2024 Annual Report). The recovery rate was under 7%.
The lawyers who contest these fraud cases on behalf of victims need to build technical dossiers proving the transaction was unauthorized. They need to reconstruct the chain of events, show the timeline, demonstrate that security protocols were insufficient.
Most of them do this manually, in Word documents, spending 3 to 5 hours per case.
This is a governance problem in disguise. The information exists. The rules exist. The process is known. What is missing is a system that traces authority ("who authorized this transfer?"), enforces policy ("was two-factor authentication active?"), and produces an auditable record ("here is the sequence of events, timestamped, with evidence attached").
An AI agent could build that dossier in minutes. But only if the governance layer exists underneath.
Why existing tools do not solve this
There are three categories of tools that partially address this space. None of them solve the core problem.
RPA and workflow tools (Zapier, Make, n8n) move data between systems. They can trigger actions based on conditions. But they have no concept of authority delegation. A Zapier workflow does not know who authorized it to act, cannot enforce spending limits on an AI agent, and produces flat logs that do not capture decision chains.
AI agent frameworks (LangChain, CrewAI, AutoGen) let you build agents that use tools, reason, and collaborate. They focus on capability: what the agent can do. They do not address authority: what the agent is allowed to do, on whose behalf, with what constraints, and how to prove it after the fact.
GRC platforms (ServiceNow, LogicGate, Archer) are built for enterprises. They cost $50,000 to $500,000 per year. They require dedicated teams to configure and maintain. A 10-person construction company will never buy one.
The gap sits between these three categories. Small businesses need AI agents that are governed from day one, with authority, policy, and audit built into how the agent operates, not bolted on after.
What a governed AI agent looks like
Consider a small construction firm managing 4 concurrent projects. The owner, two project managers, and an AI agent that tracks budgets, timelines, and supplier payments.
In an ungoverned setup, the AI agent has broad access and no constraints. It can update any project, approve any expense, and notify anyone. The owner finds out what happened when something goes wrong.
In a governed setup:
The owner delegates authority to the AI agent with specific constraints. The agent can update timelines and send notifications for projects it is assigned to. It can approve material purchases under $1,000. It cannot approve subcontractor payments. It cannot modify the budget baseline without the project manager's confirmation.
Every action the agent takes carries an authority envelope: who is the actor, on whose behalf, which delegation chain authorized this action, with what constraints. These envelopes are logged in an append-only audit trail.
When the owner asks "why did the delivery date for Building C move from March to April?", the system traces the chain: a supplier delayed delivery of structural steel by 12 days (logged on Feb 3), which triggered a timeline recalculation (logged on Feb 3, 14:22), which pushed the concrete pour from Feb 28 to Mar 14 (logged on Feb 3, 14:23), which moved the handover date to Apr 2 (logged on Feb 3, 14:23, approved by project manager Maria at 15:01).
No one had to write a report. The governance layer produced it as a byproduct of operation.
The 33 million gap
Enterprise governance is a $40 billion global market (Gartner, 2024). The vast majority of that spending comes from organizations with more than 500 employees. For the 33.2 million US small businesses, the market is effectively unserved.
This is not because small businesses do not need governance. It is because the tools were never designed for them.
AI changes this equation. Governance that used to require a team of consultants and a $200,000 software license can be embedded into the AI agent itself. The agent does not just execute; it executes within boundaries, logs its reasoning, and proves its authority chain.
The cost of governance drops from hundreds of thousands of dollars to the marginal cost of the AI agent doing its job correctly. It becomes a feature of the agent, not a separate purchase.
What needs to happen
Three things need to exist for governed AI agents to become the default for small businesses:
An authority protocol. An open specification for how authority is delegated from humans to agents and between agents. Who can do what, with what constraints, for how long. Today, no such standard exists. The closest equivalent is Google's A2A protocol, which handles communication between agents but says nothing about authority.
Policy enforcement at the agent level. Policies need to run where the agent runs, not in a separate system. A deny rule must be able to stop an action before it happens, not flag it in a dashboard after the fact.
Audit as a byproduct. Every action an agent takes should produce an auditable record automatically. Not because someone configured a logging pipeline, but because the governance layer wraps every operation.
These are buildable problems. The technology exists. What has been missing is the framing: governance is not a corporate overhead that small businesses skip. It is the layer that makes AI agents safe to use at any scale.
Closing
The 33 million small businesses adopting AI agents will face a choice. They can treat AI as a faster way to do old tasks. Or they can use this transition to build, for the first time, the kind of operational governance that was previously reserved for enterprises.
The cost barrier is gone. The technology barrier is gone. What remains is the design barrier: someone has to build governance for the 99.9%, not the 0.1%.
That is the problem I am working on.
