Tesla and SpaceX are considering a merger

The boards of Tesla and SpaceX have established independent committees to explore a potential merger.

These committees exclude Elon Musk due to conflict of interest.

Discussion points include synergies in AI, robotics, and manufacturing systems like Terafab and Starmind.

Any resulting transaction would necessitate shareholder approval, with Tesla requiring a 50% vote and Musk holding over 50% voting power at SpaceX.

How is the merger considered?

To ensure the independence of the process, the committees are made up exclusively of executives who have no direct connection to Musk. The entrepreneur himself does not participate in the committees' discussions, in order to avoid conflicts of interest.

Musk argues that the partnership could yield significant benefits in areas such as artificial intelligence and robotics. He cited SpaceX's Starmind program and infrastructure construction through the Terafab project as potential areas of synergy.

The attitude of shareholders

Despite Musk's interest, the merger is far from a given, as it requires formal approval from shareholders of both companies. The requirements vary from case to case:

  • At SpaceX, Musk controls over 50% of the voting power, which gives him a decisive role.
  • At Tesla, the consent of shareholders who collectively own 50% of the company is required.

So far, the relevant committees have not reached any agreement on the terms of a potential transaction.
