Why selling an AI tool is different from SaaS

AI tools introduce two complications:

  1. Prompt dependency — the value lives in prompts and the founder's judgment, not the code.
  2. Platform risk — if the tool runs on OpenAI or any single API, the buyer is buying something that can be deprecated at any time.

The pre-sale checklist

1. Transfer Package

  • Full access documentation — every account, API key, and login
  • Step-by-step onboarding guide (Notion, Google Doc, Loom)
  • List of all third-party dependencies with costs and renewal dates

2. Monetization Documentation

  • Revenue history (3-6 months) with screenshots from Stripe
  • Rate card or pricing structure that transfers with the asset
  • Client list with churn data if available

3. Operations SOP

  • Weekly operations playbook — what needs to happen to keep it running
  • List of automations that run without human input
  • Estimated time per week for a new operator

4. Platform Risk Disclosure

  • List of platform dependencies and what happens if pricing changes
  • Mitigation notes — what alternatives exist

5. Proof of Utility

  • Usage data: active users, messages processed
  • At least 3 screenshots showing real outputs
  • One user or buyer quote

6. Asking Price Logic

  • Revenue multiple rationale (not just a number)
  • Are you open to operator arrangements or earn-out structures?

The $18,000 sale

Initial Pirate Grade: 61 (Grade C — not sellable). Blockers: no transfer SOP, no operations guide, sponsor relationship was personal.

Two weeks of documentation work. Resubmission: 81 (Grade B). Listed at $14,000. Sold at $18,000 — the buyer paid premium because the documentation was better than anything else at that price range.

The newsletter didn't change. The AI didn't change. The revenue didn't change. Two weeks of documentation turned unsellable into sold at 15x MRR.
