Most B2B sales teams find out a prospect raised funding the same way everyone else does: a TechCrunch headline, a LinkedIn "excited to announce" post, or a Crunchbase alert, usually weeks after the money actually landed.
There's an earlier signal, and it's public record: SEC Form D.
What is Form D?
Any US company raising money through a private placement (the standard structure for VC and most institutional rounds) has to file a Form D with the SEC, typically within 15 days of the first sale of securities. It's a short form: company name, industry, amount raised, executives, and the filing date. No narrative, no spin, just facts.
Because it's a regulatory filing rather than a press release, it shows up in EDGAR before most companies are ready to talk to press. That gap between "money is in the bank" and "TechCrunch wrote about it" is often one to three weeks. For a sales team, that's a meaningful head start.
Why it matters for sales
A company that just closed funding has three things a seller wants: budget, urgency (hire fast, build fast), and a fresh mandate to buy tools it didn't have money for last quarter. Funding events are one of the highest-converting buying-intent signals in B2B: better than job postings, comparable to executive hires, and far less crowded than "company visited our pricing page."
The catch: EDGAR's raw feed is not usable as a lead list. It's unstructured, unscored, and mixed with real-estate funds, biotech SPVs, and filings with no sales relevance at all.
