Anthropic Heads to Wall Street: What Its IPO Filing Says About Its Safety-First Structure

Anthropic, the company behind the Claude chatbot, is expected to make its stock market debut later this month, according to CNN. It filed its S-1 registration statement with the US Securities and Exchange Commission on October 26, 2026, and said it intends to list Class A common stock on the Nasdaq Global Select Market under the symbol ANT.

What Anthropic filed

Anthropic announced the S-1 on October 26, 2026. It said the number of shares and the price range had not been decided, and named Goldman Sachs and Morgan Stanley as the banks handling copies of the prospectus (Anthropic).

A public benefit corporation

Anthropic is registered as a public benefit corporation, or PBC. CNN reports that a PBC must balance shareholder interests against its stated mission, and that the S-1 describes three goals: the pecuniary interest of stockholders, the best interest of those materially affected by its conduct, and the Company Purpose (CNN). CNN also notes that OpenAI became a PBC in 2025.

Who holds the votes

According to CNN, a group of trustees holds a majority of the board, and a special class of shares keeps the seven founders with a majority of general shareholder voting power. CNN puts the founders' share of voting rights at 50.1%, so ordinary shareholders will not have a say in day-to-day operations.

What analysts make of it

Gil Luria, head of technology research at D.A. Davidson, told CNN: "They spell it out. They're very upfront about it." He said the company has told investors there may be cases where leaders choose not to maximise growth or profit.

What it does not change

The filing is about ownership, governance and raising money. Neither source describes a change to Claude's features or prices, and neither mentions pricing in India. Check Anthropic's pricing page for what you pay today.

What to watch

  • The price range and share count, which were not set at filing.
  • The debut date, which CNN expects later this month.
  • The risk factors in the public prospectus.
